NOTICE OF CHANGE IN CORPORATE STRUCTURE

(In accordance with section 4.9 of National Instrument 51-102)

  1. Names of the parties to the transaction:
    TinOne Resources Inc. (formerly Lamaska ​​Capital Corp.) (“TinOne“), TinOne Resources Corp. (“PrivateCo“) and 1277805 BC Ltd. (“SubCo“)
  2. Description of the operation:
    On December 30, 2021, TinOne announced that it had closed its qualifying transaction (the “Transaction“) involving TinOne, PrivateCo and SubCo effective December 24, 2021. Pursuant to a merger agreement, SubCo, a wholly owned subsidiary of TinOne, merged with PrivateCo as Business Corporations Act (British Columbia) (the “Merger“) to form TinOne Resources Subsidiary Inc. Following the merger, in exchange for each security held in the capital of PrivateCo, each securityholder received one security in the capital of TinOne. Concurrently with the closing of the transaction, Lamaska ​​Capital Corp changed its name to TinOne Resources Inc. Following the closing of the transaction, TinOne has a total of 54,825,401 common shares issued and outstanding.

    TinOne continues to be a reporting issuer in British Columbia, Alberta and Ontario. The continued entities are TinOne and TinOne Resources Subsidiary Inc. (the entity formed following the merger).
  5. Date of the reporting issuer’s first financial statement end of the year following the operation: June 30, 2022.
  6. Periods, including comparative periods, if any, of interim and annual financial statements to be filed for the reporting issuer’s first fiscal year after the transaction:

The following is a summary of TinOne’s financial reporting periods in its first financial year following completion of the Transaction:

  1. Interim financial statements of TinOne for the six months ended December 31, 2021, together with the comparative financial statements of TinOne for the six months ended December 31, 2020;
  2. Interim financial statements of TinOne for the nine-month period ended March 31, 2022, together with the comparative financial statements of TinOne for the nine-month period ended March 31, 2021;
  3. Annual financial statements for the year ended June 30, 2022, as well as TinOne’s comparative financial statements for the year ended June 30, 2021.

The documents filed under NI 51-102 in connection with the merger are:

  1. TinOne’s filing statement dated December 20, 2021 relating to, among other things, the merger.
